How to Prepare Your Codebase for a Fast Technical Due Diligence Review

A founder or CTO who knows technical due diligence is coming can shave real time off the engagement without touching a single line of code — most of what slows a fast diligence review down isn't code quality, it's access, documentation, and answering the same clarifying questions a scan can't answer on its own. Here's what actually speeds things up, roughly in the order it matters.

Get access logistics out of the way before the clock starts

Read-only repository access, sorted by who at the target has authority to grant it, is the single most common source of avoidable delay in a fast engagement. Know in advance which repositories are in scope (including anything in a private package registry or a separate infrastructure-as-code repo), who can approve access without an internal escalation, and whether an NDA needs a specific clause for automated scanning versus a human reviewer — most standard NDAs already cover this, but it's worth confirming before the engagement is scheduled, not after.

Have an answer for the bus-factor question

Commit history and code-ownership data will surface concentration risk automatically, but it can't distinguish between "this person is the only one who understands the core service and has already announced they're leaving" and "this person wrote most of the original commits three years ago and the team has since spread that knowledge around." Being ready to explain the current state of institutional knowledge — not just point to the commit graph — turns a flagged risk into a resolved one instead of an open question the deal team has to chase down separately.

Know your own dependency and license posture

A transitive GPL or AGPL dependency buried several layers deep in the package tree is exactly the kind of finding that surprises founders as much as it surprises the deal team — most teams have never run a full transitive license audit because nothing forced them to. Running one yourself ahead of time, even informally, means a real finding gets explained with context ("that's a build-time tool, not a runtime dependency") instead of showing up cold in someone else's report.

Don't try to fix things at the last minute

A rushed pre-diligence cleanup — deleting dead code, squashing commit history, hastily adding tests to hit a coverage number — is usually visible as exactly that, and it reads as an attempt to obscure rather than a genuine improvement. A scan comparing the codebase's actual health to its stated growth trajectory and team size will notice a coverage number that jumped from 20% to 60% in the two weeks before an engagement far more than it would have noticed 20% on its own. Real remediation takes longer than a diligence engagement's timeline; don't try to compress it.

Have your test-coverage and CI setup ready to explain

Static coverage estimation looks at the ratio of test files to source files and whether a coverage threshold and CI test step are configured — it can't tell the difference between "we don't have many tests" and "our tests live in a separate repository we forgot to include in scope." Confirming test infrastructure is either included in the access grant or explained up front avoids a false-negative finding that takes longer to correct after the fact than it would have taken to mention beforehand.

What to have ready, if you want a shorter list

  1. Repository access approved and ready to grant the moment the engagement starts, including any secondary repos (infra-as-code, private packages, a separate test suite).
  2. A named person who can answer questions about team structure, ownership, and any recent departures — not just point to the commit history.
  3. An honest, informal sense of your own dependency licensing exposure, so a real finding arrives with context instead of as a surprise.
  4. No last-minute cleanup commits in the weeks immediately before the engagement — they read as a signal, not an improvement.
